Biography

Michael Wrapp is licensed to practice law in Arizona and California.  He focuses his practice in the areas of real estate transactions and financing, business formations and transactions, and automotive law.  While earning his law degree, Michael also obtained an MBA degree with a concentration in corporate finance.  His MBA background enables him to understand clients’ issues from a business perspective in addition to a legal one.  Michael has received a Martindale-Hubbell® AV Preeminent® Peer Review Rating™, the highest possible rating for professional excellence in legal ability and ethical standards.  He has also been recognized as a Super Lawyers® Southwest Rising Star.

In the area of real estate transactions, Michael represents buyers and sellers in the purchase and sale of developed and undeveloped real property, assisting with all matters necessary to take a transaction from a proposal to closing, including:  drafting and negotiating letters of intent, purchase and sale agreements, title review and analysis, assistance in due diligence and analysis of property to be acquired, and entity formation.  He also represents landlords and tenants in drafting and negotiating commercial leases.

Michael represents borrowers, lenders, and guarantors in many types of financing arrangements, including the preparation of legal opinion letters and all instruments which are a part of secured lending.  He also assists clients in all other matters relating to lending transactions, including loan workouts, restructuring, and loan extensions and modifications.  Additionally, Michael assists clients with the structuring and formation of business entities, including limited liability companies and corporations, as well as business transactions.

Michael’s automotive law practice focuses on financing, entity structuring, real estate, sales and leasing, purchase and sale agreements, contracts, and dispute resolution for automotive dealerships.  Michael is a member of the National Association of Dealer Counsel, a nationwide professional organization of attorneys who represent automobile and other vehicle dealers.

In addition to his transactional practice, Michael has substantial civil litigation and appellate experience, particularly in the areas of real estate and banking, and has obtained successful results for clients at all stages of litigation.  His experience includes participation in jury and bench trials, as well as appellate victories in the Arizona Court of Appeals and the United States Court of Appeals for the Ninth Circuit.  Michael’s litigation experience enables him to help clients avoid potential pitfalls when guiding them through transactions.

A native of the Phoenix area, Michael enjoys long-distance running (including half and full marathons), weight training, golf, hiking, and other athletic pursuits in his spare time.  He is also a passionate fan of the Phoenix Suns, Real Madrid, and Notre Dame athletics.
